Terms of Service

IMPORTANT NOTICE: THESE TERMS CONTAIN A BINDING ARBITRATION PROVISION AND CLASS ACTION WAIVER (SECTION 11) THAT AFFECT YOUR LEGAL RIGHTS. PLEASE READ THEM CAREFULLY.
By accessing or using the Menu Intel LLC platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.
1. Acceptance of Terms
These Terms form a binding agreement between you (the "Restaurant," "Tenant," or "you") and Menu Intel LLC ("we," "us," or "our"). You represent that you have the authority to bind the business entity you represent to these Terms.
2. Service Description
We provide a B2B SaaS platform for independent restaurants, including website hosting, multilingual AI-optimized digital menus, and online ordering infrastructure on custom domains via Cloudflare for SaaS. Access to the platform is currently provided at no cost to the Restaurant ($0 join, monthly, or usage fees). Revenue is generated solely from a flat service fee (approximately $1.50) paid by the end customer (diner) per order. Your use of the Service is also governed by our Privacy Policy, available at menuintel.com/privacy.html.
3. Payments and Fees
All customer payments for food orders are processed via Stripe Connect Standard accounts. Under this model:
- Merchant of Record: You (the Restaurant) are the Merchant of Record for all transactions. You are solely responsible for compliance with all applicable laws, including sales tax collection and remittance. We do not provide tax, legal, or accounting advice—consult your own advisors.
- Stripe Account: You must maintain an active, verified Stripe account connected to our platform to receive orders.

Platform Fee: Our service fee (approx. $1.50 per order) is
collected via Stripe's
application_fee_amountat the time of transaction. This fee is non-refundable.
4. Refunds, Chargebacks, and Financial Liability
You acknowledge that Menu Intel LLC bears zero financial liability for your transactions. As the Merchant of Record:
- Refunds: You are responsible for processing refunds via your Stripe dashboard. If you issue a refund, Stripe's processing fees (approximately 2.9% + $0.30 per transaction) and the Menu Intel platform service fee ($1.50) are not returned to you or the customer. These costs are your sole responsibility. We may, at our sole discretion, refund the platform service fee in exceptional circumstances (e.g., technical platform error). Requests should be sent to support.
- Chargebacks & Fraud: You are fully liable for all chargebacks, disputes, and fraudulent transactions. Any funds deducted from your account by Stripe are between you and Stripe; Menu Intel LLC will not cover these losses.
- Tax Reserve: We are not responsible for your tax obligations. You are responsible for configuring your own tax settings within Stripe.
5. Restaurant Responsibilities & Content License
- Content Accuracy: You are solely responsible for the accuracy of your menu, prices, and photos. You must comply with all local laws, including NYC "Truth in Menu" laws (e.g., allergen warnings, calorie counts).
- License Grant: You retain ownership of your content (menus, logos, photos). However, you grant Menu Intel LLC a non-exclusive, worldwide, royalty-free license to use, display, and reproduce this content solely for the purpose of operating the Service and processing orders.
- Health Grade: If operating in NYC, you represent that you hold a valid Letter Grade from the NYC Department of Health and will maintain sanitary standards required by law.
6. Termination & Leaving the Platform
You may leave the platform at any time with no penalty, no exit fee, and no cancellation charge. To terminate:
- Notify us via email at hello@menuintel.com.
- Remove any CNAME/TXT records from your DNS provider to stop routing traffic to us.
- Disconnect your Stripe account from Menu Intel via your Stripe dashboard (Connected applications section).
We reserve the right to suspend or terminate your access immediately, without notice, if you violate these Terms or if your Stripe account is restricted or disabled. Upon any termination, any outstanding obligations (e.g., reimbursements for losses) remain.
7. Disclaimer of Warranties ("As Is")
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, MENU INTEL LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MENU INTEL LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR USE OR INABILITY TO USE THE SERVICE; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; OR (C) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.
9. Indemnification
You agree to defend, indemnify, and hold harmless Menu Intel LLC, its officers, directors, and employees from and against any claims, liabilities, damages, losses, and expenses (including legal fees) arising out of or in any way connected with: (a) your access to or use of the Service; (b) your violation of these Terms; or (c) your violation of any third-party right, including without limitation any intellectual property right, publicity, confidentiality, property, or privacy right (e.g., if a customer sues due to food poisoning or allergic reaction triggered by your menu).
10. Governing Law
These Terms shall be governed by the laws of the State of New York, without respect to its conflict of laws principles.
11. Dispute Resolution: Binding Arbitration & Class Action Waiver
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR RIGHTS.
- Mandatory Arbitration: Any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, shall be determined by arbitration in New York, NY before one arbitrator. The arbitration shall be administered by JAMS pursuant to its Comprehensive Arbitration Rules and Procedures.
- Class Action Waiver: YOU AND MENU INTEL LLC AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.
- Exceptions: Either party may bring a lawsuit solely for injunctive relief to stop unauthorized use or abuse of the Service, or intellectual property infringement.
12. Force Majeure
Menu Intel LLC shall not be liable for any failure or delay in performance due to causes beyond our reasonable control, including but not limited to acts of God, war, terrorism, pandemics, government actions, or internet failures.
13. Severability
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
14. Assignment
We may assign these Terms without your consent. You may not assign these Terms without our prior written consent.
